Terms of Service
Last updated: July 2026 · These terms are provided for our closed alpha and may change. By using Rayberg during this early phase you accept that features, pricing, and these terms are still evolving.
1. Acceptance of Terms
These Terms of Service (the “Terms”) form a binding agreement between you and Rayberg (“Rayberg”, “Rayberg AI”, “we”, “us”, or “our”) governing your access to and use of the Rayberg website, applications, and services (together, the “Services”). By creating an account, purchasing tokens, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility & Accounts
You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a legally binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Provide accurate information when registering, keep it up to date, and notify us promptly of any unauthorized use. We may suspend or close accounts that appear to violate these Terms or that create risk for us, our providers, or other users.
3. Alpha / Beta Nature & Availability
Rayberg is currently a closed alpha. The Services are pre-release, provided for evaluation, and may be incomplete, unstable, or change significantly without notice. Features may be added, modified, or removed at any time, and individual AI models may be introduced, replaced, or discontinued as our upstream providers change theirs.
We do not guarantee any particular level of uptime, performance, or data retention during the alpha. The Services depend on third-party infrastructure and model providers, and outages, latency, queueing, or capacity limits may occur. You should not rely on the Services as the sole store of any content you cannot afford to lose, and you should keep your own copies of important outputs.
4. Description of the Services
Rayberg AI is a creative studio that lets you generate and edit media using artificial intelligence — including images, video, cinematic sequences, marketing assets, 3D / stage scenes, and multi-shot compositions — together with in-product apps and an AI Director assistant. Generation runs on a combination of our own adapters and third-party AI models. Outputs are probabilistic and may vary between runs, may contain errors or artifacts, and are not guaranteed to be accurate, original, or fit for any particular purpose.
Each generation or action consumes tokens according to the cost model published at /pricing. We may adjust which actions are available, and their token cost, as the Services evolve.
5. Tokens & Billing
Prepaid token balance. Access to generation is powered by tokens — a prepaid, in-product credit. Tokens have no cash value, are not a deposit or currency, cannot be transferred or exchanged for money, and can be redeemed only for Services offered by Rayberg. Tokens may be granted through paid plans, one-time top-up purchases, or promotional credit.
Purchases & top-ups. Paid plans and one-time token top-ups are billed through our payment processor at the prices shown at checkout, plus any applicable taxes. Recurring plans renew automatically for successive periods until cancelled. Top-up purchases are charged at the time of purchase and the corresponding tokens are credited to your account immediately.
Consumption & automatic correction. Tokens are reserved when you start an action and settled when it completes. If a generation fails on the provider side after tokens were reserved (for example, no asset is returned), the reserved tokens are automatically returned to your balance. This is a balance correction, not a monetary refund.
No refunds except where required by law. Because tokens unlock digital content that is made available immediately, all purchases are final and non-refundable to the fullest extent permitted by applicable law, including where you do not use purchased tokens. Where you have a mandatory statutory withdrawal or refund right that cannot be waived, that right still applies; by purchasing immediately-usable digital content you may be asked to consent to immediate performance and to acknowledge that such statutory withdrawal rights may thereby lapse. You may cancel a recurring plan at any time; access continues until the end of the paid period and no partial refund is issued for the remaining time. 6. Acceptable Use & Prohibited Content
You are solely responsible for your inputs, prompts, and generated outputs, and for using the Services lawfully. You agree not to use the Services to create, upload, or distribute content that:
- Is illegal, or promotes, facilitates, or incites illegal acts under any applicable law.
- Sexually exploits or endangers minors in any way, including any child sexual abuse material (CSAM).
- Infringes the intellectual property, privacy, publicity, or other rights of any person.
- Depicts a real, identifiable person without consent, including non-consensual sexual or intimate imagery and deceptive deepfakes.
- Is defamatory, harassing, hateful, threatening, or that promotes violence or self-harm.
- Is pornographic, obscene, or otherwise constitutes NSFW abuse of the Services.
- Is designed to deceive in political, electoral, or public-safety contexts, or to spread fraud or disinformation.
- Contains malware, or attempts to probe, scrape, reverse-engineer, overload, or circumvent the Services, our rate limits, or our safety systems outside documented interfaces.
- Resells, sublicenses, or white-labels the Services without our prior written agreement.
You must also comply with the acceptable-use and content policies of the underlying model providers. We may review, filter, restrict, or remove content and may suspend or terminate accounts, revoke tokens, and report unlawful activity to the authorities where we reasonably believe these Terms have been violated.
7. User Content & Generated Output
Your inputs. You retain all rights you already hold in the content you upload or submit (“Input”). You represent that you have the necessary rights to submit your Input and to have it processed by the Services and the relevant model providers. You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display your Input and outputs solely to operate, secure, and improve the Services and to provide them to you.
Your outputs. As between you and Rayberg, and subject to your compliance with these Terms, we do not claim ownership of the assets you generate (“Output”) and, to the extent we hold any rights in the Output, we assign or license them to you so you can use your Output, including for commercial purposes. Because AI outputs are generated from shared models, similar or identical Output may be produced for other users, and we make no promise of exclusivity or originality.
Your responsibility. You are responsible for evaluating your Output and for ensuring your use complies with all applicable laws and third-party rights (including copyright, trademark, and personality/publicity rights) and with the terms of the relevant model providers. The copyrightability and legal status of AI-generated content varies by jurisdiction and is your responsibility to assess.
8. Intellectual Property
The Services themselves — including the Rayberg name and logo, software, user interface, models we own, and all related intellectual property — are owned by Rayberg or our licensors and are protected by law. Except for the limited rights expressly granted in these Terms, we grant you no right, title, or interest in the Services. You may not copy, modify, distribute, sell, or create derivative works of the Services, and you may not use our brand features without permission.
9. Third-Party AI Models & Providers
The Services integrate third-party AI models and infrastructure providers. When you run a generation, your prompts, inputs, and related data may be transmitted to and processed by the applicable provider to produce your Output. Your use of those models is also subject to the providers’ own terms and acceptable-use policies, and the providers may change, degrade, or discontinue their models at any time. We are not responsible for the acts, omissions, availability, or output of third-party providers. A list of the providers we use is maintained in our Privacy Policy.
10. Copyright & Takedown
We respect intellectual property rights and expect our users to do the same. If you believe content on the Services infringes your copyright or other rights, send a notice to hello@rayberg.ai including: (a) identification of the work claimed to be infringed; (b) identification of the allegedly infringing material and enough information to locate it; (c) your contact details; (d) a statement that you have a good-faith belief the use is not authorized; and (e) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the rights holder. We may remove allegedly infringing content and terminate repeat infringers.
11. Disclaimers & “As Is”
To the fullest extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage. We do not warrant that the Services will be uninterrupted, secure, error-free, or that outputs will be accurate, reliable, lawful, original, or suitable for your intended use. This is an alpha product; you use it at your own risk.
12. Limitation of Liability
To the fullest extent permitted by law, Rayberg and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or content, arising out of or relating to your use of (or inability to use) the Services, even if advised of the possibility of such damages. To the extent liability cannot be excluded, our total aggregate liability for all claims relating to the Services is limited to the greater of the amount you paid to us for the Services in the three (3) months before the event giving rise to the claim, or fifty (50) euros. Nothing in these Terms limits liability that cannot be limited under applicable law, such as for willful misconduct, gross negligence, or injury to life or health.
13. Indemnification
You agree to indemnify, defend, and hold harmless Rayberg and its affiliates and their respective personnel from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your Input, your Output, your use of the Services, your violation of these Terms, or your violation of any law or the rights of any third party.
14. Termination
You may stop using the Services and close your account at any time. You may cancel a recurring plan through your account settings; access continues until the end of the current billing period. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms, if required for security or legal reasons, or if we discontinue the Services. Upon termination, your right to use the Services ends and any remaining token balance is forfeited except where a non-waivable law requires otherwise. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive.
15. Changes to These Terms
We may update these Terms as the Services evolve, particularly during the alpha. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, stop using the Services.
16. Governing Law
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the jurisdiction in which Rayberg is established, without regard to conflict-of-law rules and without prejudice to any mandatory consumer-protection rights you enjoy in your country of residence. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect.
