Terms of Service

1. Agreement

These Terms of Service (the “Terms”) are a binding agreement between you and VisionPictures LLC, a Wyoming limited liability company (“we”, “us”, “our”), which operates Rayberg. They govern your use of the website rayberg.ai, our studios and apps, RAY (our AI director), our desktop app, our API and our MCP server (together, the “Services”). By creating an account, buying a plan or tokens, or otherwise using the Services, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. If you use the Services for an organization, you confirm that you may bind it to these Terms, and “you” includes that organization.

Provide accurate account information and keep it up to date. You are responsible for keeping your sign-in details and API keys secure and for all activity under your account. One person may not create multiple accounts to obtain free or promotional tokens. Tell us promptly at hello@rayberg.ai if you suspect unauthorized use.

3. Early access

The Services are in early access. They may be incomplete or unstable and may change significantly without notice. Features and individual AI models may be added, changed or removed, including when our providers change or discontinue their models. We do not promise any particular uptime, speed or capacity, and outages, queues and limits can occur. Keep your own copies of outputs that matter to you. If a model covered by an active model pass is withdrawn, the model pass terms in section 5 apply.

4. The Services

Rayberg is a creative studio for generating and editing images, video, cinematic sequences, marketing assets, audio, 3D scenes and multi-shot compositions with artificial intelligence, together with in-product apps and RAY. Generation runs on our own software and on third-party AI models. Outputs are probabilistic: they vary between runs, can contain errors or artifacts, and are not guaranteed to be accurate, unique or fit for a particular purpose.

5. Plans, tokens and payment

Tokens. Generations and other paid actions consume tokens, a prepaid in-product credit, at the rates shown in the Services and on our pricing page. Tokens have no cash value, are not a deposit, currency or property, cannot be transferred or exchanged for money, and can only be used for the Services. Tokens come with paid plans and add-ons, one-time token packs or as free or promotional credit. Tokens you buy or receive with a plan do not expire while your account is open; section 11 explains what happens when your account ends. We may change which actions are available and what they cost as the Services evolve.

Purchases. Plans, add-ons, model passes, token packs and other paid offers are billed through our payment processor Stripe at the price and in the currency shown at checkout, plus any applicable taxes. Token packs and model passes are one-time payments charged when you buy them; token packs are credited right away.

Automatic renewal. Plans and add-ons (such as the RAY add-ons) are billed in advance for each monthly or annual period and renew automatically at the then-current price until you cancel. You can cancel at any time in your account’s billing settings; the cancellation takes effect at the end of the current period, and you keep access until then. If we change the price of your plan or add-on, the new price applies from your next period after we have told you about it, and you can cancel before then.

Changing plans. If you switch from one paid plan to another, the change takes effect immediately. The price difference for the rest of the current billing period is calculated pro rata and charged to, or credited against, your saved payment method with your next invoice or, if the billing period changes, right away. The tokens of the new plan are added at its next regular renewal.

Model passes. We do not sell model passes at the moment; this paragraph applies to passes bought earlier and to any we offer again. A model pass gives you generations without token charges with one model, or with the models of a bundle, up to the resolution shown when you buy it, for the period you buy (for example 1, 7 or 14 days), starting when your payment is completed. A pass is a one-time payment and does not renew. To keep the Services available for everyone, a pass runs a limited number of generations at the same time, as shown when you buy it. A pass belongs to your account and cannot be transferred or paused. If a model covered by your pass becomes unavailable for a substantial part of the pass period for reasons outside your control, we will, at our choice, extend the pass by the time lost or refund the unused part pro rata.

Failed generations. Tokens are reserved when you start an action and settled when it finishes. If a generation fails on the provider side, for example because no result is returned, the reserved tokens are returned to your balance automatically. This is a balance correction, not a monetary refund.

Refunds. Because plans, add-ons, model passes and tokens unlock digital services that start immediately, payments are final and non-refundable, including for unused tokens, for the unused part of a pass and for the rest of a period after you cancel, except as stated in these Terms or where applicable law requires otherwise. If you believe you were charged in error, contact hello@rayberg.ai and we will look into it.

Refunded and reversed payments. If a payment is refunded or reversed, including through a chargeback, we remove the tokens granted with that payment from your balance (up to your remaining balance) and may end the plan, add-on or pass it paid for. When a paid plan ends for any reason, your account moves to the Free plan, whose storage rules then apply to all of your files: generated files older than 30 days are deleted, as described in our Privacy Policy. Download what you want to keep before your plan ends.

Consumers in the EU, EEA, UK and Switzerland. You may have a statutory right to withdraw from a purchase within 14 days. For digital content and services that begin immediately at your request, this right can end once performance has started, where the law allows this and you have given the required consent. Nothing in these Terms limits a withdrawal or refund right that applies to you by law. To withdraw, send us a clear statement by email to hello@rayberg.ai.

Promotional tokens. Free or promotional tokens may come with limits or an expiry date that we tell you about when we grant them, and we may withhold or remove them if they were obtained through multiple or fake accounts or other abuse.

6. Acceptable use

You are responsible for your inputs, prompts and outputs and for using the Services lawfully. You may not use the Services to create, upload or distribute content, or to act in a way, that:

• is illegal, or promotes or facilitates illegal acts;
• sexually exploits or endangers minors in any way, including child sexual abuse material;
• infringes intellectual property, privacy, publicity or other rights of anyone;
• depicts a real, identifiable person without consent, including non-consensual intimate imagery and deceptive deepfakes;
• clones or imitates the voice of a real person without that person’s permission;
• is defamatory, harassing, hateful or threatening, or promotes violence or self-harm;
• is pornographic or obscene;
• is designed to deceive in political, electoral or public-safety contexts, or to commit fraud or spread disinformation;
• contains malware, or tries to probe, scrape, reverse-engineer, overload or get around the Services, our rate limits or our safety systems outside documented interfaces;
• resells, sublicenses or white-labels the Services without our prior written agreement.

You must also follow the usage and content policies of the AI providers whose models you use. We may review, filter, block or remove content, suspend or close accounts, remove tokens obtained in breach of these Terms, and report unlawful activity to the authorities where we reasonably believe these Terms have been violated.

7. Your content and outputs

Your inputs. You keep the rights you have in the content you upload or submit (“Input”). You confirm that you have the rights and permissions needed to submit it and to have it processed by us and by the relevant AI providers, including the permission of every person whose face or voice it contains. You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit and display your Input and outputs only to operate, secure and improve the Services and to provide them to you. We do not use your content to train AI models.

Your outputs. As between you and us, and as long as you comply with these Terms, we do not claim ownership of the results generated for you (“Output”) and assign to you any rights we may have in them, so you may use your Output, including commercially. Because AI models are shared, similar or identical Output may be created for others; we do not promise exclusivity or originality.

Your responsibility. You are responsible for reviewing your Output and for making sure your use of it complies with the law, with the rights of others (including copyright, trademark and publicity rights) and with the terms of the relevant AI providers. Whether AI-generated content can be protected by copyright differs between countries.

Published content. If you publish content through the Services, for example a website or a share link, it is visible to anyone with the address until you remove it.

8. Our intellectual property and feedback

The Services, including the Rayberg name and logo, software, user interface and related intellectual property, belong to VisionPictures LLC or its licensors. Apart from the rights expressly granted in these Terms, you receive no rights in them, and you may not copy, modify, distribute, sell or create derivative works of the Services or use our brand without permission. If you send us ideas or feedback, we may use them freely and without obligation to you.

9. Third-party models, services and connected clients

The Services use third-party AI models and infrastructure. When you run a generation, your inputs and related data are sent to the relevant provider to produce your Output. Providers may change, limit or discontinue their models at any time, and we are not responsible for their acts, availability or output. Our providers are listed in our Privacy Policy.

If you connect an external AI assistant or app through our MCP server or an API key, you are responsible for that client and its actions in your account, including the tokens it consumes. Its handling of data is governed by its provider’s terms.

10. Copyright complaints

We respect intellectual property rights. If you believe content on the Services infringes your copyright or other rights, send a notice to hello@rayberg.ai with: (a) the work you believe is infringed; (b) the material you believe is infringing and enough information to locate it; (c) your contact details; (d) a statement that you believe in good faith that the use is not authorized; and (e) a statement, under penalty of perjury, that your notice is accurate and that you are the rights holder or authorized to act for them. We may remove material and close the accounts of repeat infringers.

11. Suspension and termination

You may stop using the Services and close your account at any time. We may suspend or end your access, with or without notice, if you violate these Terms, if required for security or legal reasons, or if we discontinue the Services. When your account ends, your right to use the Services ends and any remaining token balance is forfeited, except where mandatory law requires otherwise. Sections that by their nature should survive — including content rights, disclaimers, limitation of liability, indemnification and governing law — survive termination.

12. Disclaimers

To the fullest extent permitted by law, the Services and all Output are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Services will be uninterrupted, secure or error-free, or that Output will be accurate, reliable, lawful, original or suitable for your purpose. The Services are in early access; you use them at your own risk.

13. Limitation of liability

To the fullest extent permitted by law, VisionPictures LLC and its members, managers, employees, contractors and suppliers are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or content, arising out of or relating to the Services, even if advised of the possibility of such damages. Our total liability for all claims relating to the Services is limited to the greater of the amount you paid us for the Services in the three (3) months before the event giving rise to the claim, or fifty U.S. dollars (US$50).

Nothing in these Terms limits liability that cannot be limited under applicable law, such as liability for fraud, willful misconduct, gross negligence or injury to life, body or health, or your mandatory rights as a consumer.

14. Indemnification

To the extent permitted by law, you will defend, indemnify and hold harmless VisionPictures LLC and its members, managers, employees and contractors from claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of your Input, your Output, your use of the Services, your violation of these Terms or your violation of any law or third-party right.

15. Governing law and disputes

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Before bringing a claim, please contact us at hello@rayberg.ai so we can try to resolve the issue informally.

If you are a consumer living in the EU, the EEA, the UK or Switzerland, you also keep the protection of the mandatory laws of your country of residence and may bring proceedings in the courts there.

16. Changes to these Terms

We may update these Terms as the Services change. We will post the new version here with a new date and, for material changes, notify you by email or in the Services before they take effect. If you keep using the Services after the changes take effect, you accept the updated Terms; if you do not agree, stop using the Services and cancel your plan.

17. General

These Terms, together with the Privacy Policy and any terms shown at checkout, are the entire agreement between you and us about the Services. If a provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms without our consent; we may transfer ours in connection with a merger, acquisition or sale of assets. We are not responsible for delays or failures caused by events beyond our reasonable control. These Terms are written in English; translations are for convenience only.
